Course Syllabus
Abstract
Compliance today is a crucial issue for any business, whether large or small. One of the monumental tasks in today's corporate world is to comply with ever-changing and complex regulations that require daily attention to keep a business fully compliant and avoid liability and penalties.
During the course we are going to explore the world of compliance and ethics in business, why it’s important, and how to develop and build a successful Compliance and Ethics Program. The theoretical part of the course will allow students to become familiar with the fundamentals of compliance, including the principles and elements of a compliance program. In addition, we will examine the factors influencing the implementation of a successful compliance program, discuss ethics and corporate culture. The course includes an introduction to such areas of compliance as money-laundering, anti-corruption and anti-bribery, anti-trust, KYC (know you customer/client), whistleblower protection, hotlines and records management. During the practical part, students will get acquainted with specific cases, learn how to independently develop presentations, write policies, letters, they will temporarily immerse themselves in the work of compliance officers.
As a result of studying the course, students will be able to independently structure a compliance program, learn to assess risks, and will also feel confident in preparing the necessary policies and other documents.
Learning Objectives
- The main purpose of the research seminar is to train students’ abilities to structure a compliance program, learn to assess risks, and will also feel confident in preparing the necessary policies and other documents.
Expected Learning Outcomes
- Students must gain knowledge on legal sources governing compliance; main approaches to the key issues of implementation of a successful compliance program; the key current problems in the field of contemporary law regulating compliance; particularities of development of standard legal documentation documenting compliance policies and governance.
- Skills and abilities: ability to use specific terms and sources governing compliance; practical abilities to undertake a research and analysis of judicial decisions and legal writings; skills to analyse and solve cases, build-up of the legal position and compose procedural documents on cases in the sphere of compliance.
- Students should gain the following competences: ability to work with information (search, evaluate, use information, necessary for fulfilment of scientific and professional tasks, from various sources, including application of the systematic approach); ability to carry out professional activities in the international environment;
- Students should gain the following competences: ability to search, analyse and work with legally relevant information by using of juridical, comparative and other specific methods, ability to describe legal problems and situations in the field of compliance.
Assessment Elements
- Classroom-based work and attendanceAttendance is important and it is mandatory. Classroom discussions are a key part of this course. Students may have up to two absences, for any reason, without penalty. Students should arrive on time. If participants of the course miss no more than 15 minutes of class, they will be marked as partially attending the class. If they miss more than 16 minutes for they will be marked absent. The lecturer sends a list of required and recommended reading materials for each class in advance. Students are required to do their own research using the library and electronic resources. In general, participants of the course are expected to read about 100 pages a week for the Project seminar. Classes will be structured as participative workshops in order to stimulate class discussion. Students are expected to read the materials indicated prior to each class. • use of interactive educational technologies • problem-based lectures based on the Socratic method • work in small groups • extensive home-reading.
- Written assignment № 1The first practical task will be in form of presentation and its defence. Work in small teams. Length: 5-7 slides. Grade: 50% - paper + 50% defense.
- Written assignment № 2The second practical task will be individual in form of cover letter and presentation. Length: 5-7 slides + 1 page cover letter. Grade: 50% - paper + 50% defense.
- Final examForm of the exam: Final Written Work Assignment (policy and guidelines development, take-home exam, 3 hours).
