Course Syllabus

Abstract

This Course Program establishes minimum requirements for skills and knowledge of the student and determines the content and the forms of educational activities and reporting. The Course Program is designed for lecturers, teaching assistants and students of the Master of International Business program, degree code 38.04.02 in "Management" within the Course "International Business Transactions". The syllabus is developed according to: the standard educational requirements of the Federal State Autonomous Educational Institution of Higher Education «National Research University «Higher School of Economics» (HSE) for the Management Degree code 38.04.02. This Course is one of the special disciplines facilitating the study of international trade mechanisms. "International Business Transactions" Course allows to examine the nature and content of international commercial transactions, organizational and legal regulation of international commercial practices. Special attention is dedicated to the organization of international commercial transactions of goods, services, including intellectual ones and works: the preparation and conclusion of international trade deals; purchase and sales contracts content; transactions carried out through commercial intermediaries; operations carried out in the international commodity exchanges, auctions, tenders, international exhibitions and fairs. The discipline allows to study in detail the exchange of R&D expertise, technical services, and lease. Particular attention is dedicated to companies’ commercial activities related to the implementation of agreements on international industrial and technical cooperation. An important role in the Course is dedicated to practical studies and self-study activities.

  • Joint ventures: structuring, key issues to be addressed.
  • Intellectual property aspects in international business transactions, terms of technology transfer, license agreement and the content of TRIPS agreement.
  • Public-Private Partnerships.
  • Tax aspects/customs regulation of international business transactions
  • Dispute resolution and arbitration in international business transactions
  • Project management: how to structure the process properly, tips for successful negotiation strategy
